Terms of Service

Welcome to Career Torch ("Platform," "Service," "we," "us," or "our"), an AI-powered interview preparation platform operated by LearnerX Edtech Private Limited ("Company"), a company registered under the laws of India, operating under the brand name Codebasics.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LearnerX Edtech Private Limited governing your access to and use of the Platform.

2.1 Age Requirements

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use our Services. Users under 18 may only use the Platform with verifiable parental or guardian consent. We do not knowingly collect personal data from children under 18 without appropriate parental consent.

2.2 Account Responsibilities

When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized use of your account
• Not create multiple accounts for deceptive or fraudulent purposes

Career Torch is an AI-powered platform designed to help job seekers prepare for technical interviews. Our services include resume analysis, skill gap assessment, company-specific preparation, AI-generated practice tests, and performance analytics.

We do not guarantee uninterrupted availability of the Platform. Services may be temporarily unavailable due to maintenance, technical issues, or third-party service interruptions. We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

You may use our Services only for lawful, personal, non-commercial interview preparation purposes. You agree NOT to:

• Upload false, misleading, or fraudulent information
• Upload resumes or documents belonging to other persons without authorization
• Submit content that is defamatory, obscene, abusive, harmful, or infringes third-party rights
• Submit malicious content, including viruses, malware, or harmful code
• Attempt to gain unauthorized access to the Platform, user accounts, or systems
• Circumvent, disable, or interfere with security features
• Use automated systems, bots, scrapers, or similar technology to access the Platform
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use the Platform for any commercial purpose without our written consent
• Resell, sublicense, or redistribute access to the Services
• Violate any applicable law or regulation
• Impersonate any person or entity

Violation may result in immediate termination of your account, removal of content, and/or legal action.

5.1 Our Intellectual Property

The Platform and its entire contents, features, and functionality (including software, algorithms, text, graphics, logos, design, question databases, AI models, and trademarks) are owned by LearnerX Edtech Private Limited, its licensors, or other providers and are protected by Indian and international intellectual property laws.

5.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use. This license does not include any right to resell, copy, reproduce, modify, create derivative works from, or reverse engineer the Platform or its contents.

6.1 Ownership

You retain all ownership rights in the content you submit to the Platform (resume, profile information, and other materials). We do not claim ownership of your content.

6.2 License Grant

By submitting content to the Platform, you grant LearnerX Edtech Private Limited a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and analyze your content using AI technologies to provide the Services, and to create anonymized, aggregated data for improving our Services.

6.3 Your Representations

By submitting content, you represent and warrant that:

• You own or have the necessary rights to submit the content
• The content is accurate and not misleading
• The content does not infringe any third party's rights
• The content does not contain any unlawful or harmful material

We reserve the right to remove any content that violates these Terms at our sole discretion.

Our Platform uses artificial intelligence and machine learning technologies to provide personalized interview preparation. To deliver these services, we may use third-party service providers for AI processing, cloud infrastructure, authentication, and analytics. Your data may be processed by these providers subject to our contractual agreements ensuring appropriate data protection.

8.1 By You

You may terminate your account at any time by contacting us at support@codebasics.io. Upon termination, your right to use the Services will immediately cease.

8.2 By Us

We may suspend or terminate your account immediately, without prior notice, if you breach these Terms, engage in fraudulent or illegal activities, or if we determine termination is necessary to protect the Platform, users, or third parties.

8.3 Effect of Termination

Upon termination, all licenses granted to you will immediately terminate, and we may delete your content and data subject to legal retention requirements. Sections of these Terms that by their nature should survive termination will survive.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL LEARNERX EDTECH PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) INR 10,000
• WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, REPUTATION, OR OTHER INTANGIBLE LOSSES

9.3 No Guarantee of Employment

WE DO NOT GUARANTEE THAT USE OF OUR SERVICES WILL RESULT IN EMPLOYMENT, JOB INTERVIEWS, OR ANY SPECIFIC CAREER OUTCOMES. THE PLATFORM IS AN EDUCATIONAL TOOL, AND EMPLOYMENT DECISIONS ARE MADE BY THIRD-PARTY EMPLOYERS BEYOND OUR CONTROL.

9.4 Exceptions

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by applicable law.

You agree to indemnify, defend, and hold harmless LearnerX Edtech Private Limited, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including attorney's fees) arising from:

• Your use of the Platform and Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any claim that your content caused damage to a third party
• Your violation of any applicable law or regulation

This indemnification obligation survives termination of these Terms.

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. The courts in Hyderabad, Telangana, India shall have exclusive jurisdiction over any disputes arising from these Terms.

11.2 Grievance Officer

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021:

11.3 Arbitration

If disputes cannot be resolved informally, they shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator in Hyderabad, Telangana, India, in the English language.

We may modify these Terms at any time. When we make changes, we will update the "Last Updated" date and notify you of material changes via email or through the Platform. Your continued use of the Platform after changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform.
